Definition
A filing with the SEC that registers securities for future sale. The company can then sell these shares at any time without filing again.
Why It Matters
An active shelf registration is a dilution overhang. The company can sell shares at any time, which can cap upside. Always check for active shelves before going long on a small cap stock.
Real Example
A company files an S-3 for $100M worth of shares. They don't sell immediately, but the registration is active. Traders know dilution could come at any rally, creating a psychological ceiling on the stock.
